This Sandbox User Agreement (this “Agreement”) is a contract between you and Bauplan Inc. (“Bauplan”) and applies to your use of the Bauplan Sandbox Environment (the “Sandbox”).
The Sandbox is a shared, public demonstration environment intended solely to showcase the capabilities of the Bauplan platform. It is not a production system. It is not configured for privacy, data security, or commercial use. The Sandbox is provided for evaluation purposes only.
As part of your access and use of the Sandbox you acknowledge that you have read, understood and agree to all terms of this Agreement as well as the Terms and Conditions maintained by Bauplan at https://bauplanlabs.com/website-terms-conditions which are expressly incorporated herein. If you do not agree to these terms and conditions, then you must immediately cease any use of the Sandbox.
We may amend this Agreement or the Terms of Service at any time. Any revised versions will be effective at the time of receipt by you or posting to Bauplan’s website. In the event of any conflict or inconsistency between the terms and conditions of this Agreement, including as amended, and any terms or conditions set forth in any service agreement or non-disclosure agreement that you enter into with Bauplan, the terms and conditions set forth in the service agreement or non-disclosure agreement shall prevail.
In this Agreement, "you" or "your" means any person or entity using the Sandbox. Unless otherwise stated, “we,” or “our” refer collectively to Bauplan.
Test Environment. The Sandbox is a test environment. You acknowledge and agree that (i) the Sandbox and the data contained in the Sandbox may only be used for testing purposes and (iii) you will not use the Sandbox, or the data contained therein, for any other purpose. We make no promises or claims related to the availability or uptime of the Sandbox. You further acknowledge and agree that Bauplan does not commit to make available anything developed or built in the Sandbox, and reserves the right to deny the use of any technology developed or built in the Sandbox.
Monitoring, Usage Data and Registration Information. We may collect telemetry and usage data, including:
This data may be used to debug issues, improve the platform, and understand general usage trends.
By accessing the Sandbox, you may be asked to provide basic information such as your name, email address, company affiliation, and job title. You agree that Bauplan may store and process this information for internal business purposes, including product improvement, customer engagement, and sales follow-up.
We may contact you occasionally about your experience or to provide information about Bauplan products. You can opt out of these communications at any time.
Limitations. You agree that: (i) Bauplan has no obligation to maintain test data on its servers and may delete data from the Sandbox on regular intervals without notice; (ii) the Sandbox may not be accessed for the exclusive purpose of monitoring performance, or functionality, or for any other benchmarking or competitive purposes; (iii) load testing the Sandbox is not permitted; (iv) Bauplan will not monitor or validate any information submitted or uploaded to the Sandbox. You further agree that you will not rely on any output generated through the Sandbox, for any purpose.
“AS IS” with No Warranty. The Sandbox is provided "AS IS" AND WITHOUT ANY WARRANTY OR CONDITION, EXPRESS, IMPLIED OR STATUTORY.
Indemnification. In the event of claim, suit or demand (including legal fees) made or incurred by any third party due to or arising out of your breach of this Agreement, or your violation of any law or the rights of a third party relating to your use of the Sandbox or the data contained therein you agree to indemnify and hold Bauplan, including its officers, directors and employees, harmless.
Limitation of Liability. IN NO EVENT WILL WE BE LIABLE FOR LOST PROFITS OR ANY SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE SANDBOX, OUR SERVICE, OR THIS AGREEMENT (HOWEVER ARISING, INCLUDING NEGLIGENCE). OUR LIABILITY TO YOU OR ANY THIRD PARTIES IN ANY CIRCUMSTANCE IS LIMITED TO THE AMOUNT OF DIRECT DAMAGES IN AN AMOUNT NOT TO EXCEED $500.00.
Bauplan Ownership. We own and reserve all right, title, and interest in and to the Sandbox, the Bauplan’s Platform (as defined below) and all Content (as defined below). No rights are granted to you hereunder other than as expressly set forth herein. “Bauplan Platform” means a data lakehouse designed by Bauplan to run real production workloads while staying simple, interoperable, and controllable. “Content” means the content and data that we make available at our discretion in connection with the Sandbox.
License to Sandbox, Platform and Content. Subject to your continued compliance with the terms of this Agreement, and solely during the term of this Agreement, Bauplan grants you a limited, revocable, non-exclusive, non sublicensable, non-transferable license to: (i) access and use the Sandbox and the Bauplan Platform solely for testing purposes in accordance with the limitations set forth herein; and (ii) use the Content solely in connection with your permitted use of the Sandbox and Bauplan Platform. Any additional usage rights made available to you shall be subject to the terms of this Agreement. Accessing the Sandbox does not create a customer relationship with Bauplan and does not grant any license to use Bauplan in a production or private context. It is not a subscription or a trial of a private Bauplan environment. To request a private instance, please contact us directly at info@bauplanlabs.com.
License Restrictions. You agree to use the Sandbox only for non-commercial purposes and in compliance with applicable laws. You will not, and will not permit any third party to: (i) reverse engineer, copy, scrape, decompile, disassemble or otherwise attempt to discover the source code, object code or underlying structure, ideas, or algorithms of the Sandbox or the Bauplan Platform or any software, documentation or data related to the Sandbox or the Bauplan Platform; (ii) modify, translate, or create derivative works based on the Sandbox or the Bauplan Platform for any purpose other than testing purposes; (iii) use the Sandbox, the Bauplan Platform and Content for commercial, production, or client workloads, or for any purpose other than testing, (iv) use the Sandbox, the Bauplan Platform and Content other than in accordance with this Agreement and in compliance with all applicable laws and regulations; (v) introduce malicious code or attempt to disrupt the environment; (vi) circumvent usage limits or impersonate others; (vii) use the Sandbox to process personal, regulated, or export-controlled data. We reserve the right to suspend or revoke access at any time, for any reason, without notice.
Rights and License Regarding Your Data. By submitting or uploading material to the Sandbox, you represent and warrant that you have the necessary rights (through license, consent or permission) to submit the material. You also represent that any use of the submitted material by Bauplan will not violate any applicable laws or regulations. You further represent that neither your submission of the material nor the use of the material through the Sandbox shall infringe or violate the rights of or your obligations to any third party and that such submission complies with all applicable laws. The Sandbox is shared among all users. Any data outputs you create or upload may be visible to other users. You grant to Bauplan a worldwide, non-exclusive, transferable, assignable, sub-licensable, fully paid-up, royalty-free, perpetual, irrevocable right and license to host, transfer, display, perform, reproduce, modify, distribute, re-distribute, relicense and otherwise use, make available and exploit your submitted material, in whole or in part, in any form and in any media formats and through any media channels (now known or hereafter developed). Do not upload private, sensitive, personal, or confidential data. The environment may be reset at any time without notice. Data entered into the Sandbox may not be preserved.
Definition. Bauplan’s “Confidential Information” includes the Sandbox, Content, the Bauplan Platform, all tokens and other log-in credentials supplied by Bauplan to you, and all non-public information regarding the operation of Bauplan’s services.
Confidentiality Obligations. You agree to hold Bauplan’s Confidential Information in confidence and not to use it other than as necessary to use the Sandbox as contemplated in this Agreement. You agree to cease use of and, as applicable, return all Confidential Information at Bauplan’s request. These confidentiality obligations shall not apply to information which (a) has entered the public domain except where such entry is the result of your breach of this Agreement; (b) prior to disclosure hereunder was already in your possession; or (c) subsequent to disclosure hereunder is obtained by you on a non confidential basis from a third party who has the right to disclose such information to you.
This Agreement shall begin on the date you first access the Sandbox and will continue until the expiration of your access to the Sandbox or until earlier terminated by either party. Either you or Bauplan may terminate the Agreement at any time and for any reason upon thirty (30) days’ notice. Either party may terminate the agreement effective immediately in the event of a breach of the agreement by the other party.
This Agreement shall be governed by and construed in accordance with the laws of the State of California without regard to the conflicts of laws provisions therein, and the parties agree to be subject to the jurisdiction of the courts in the State of California the event a suit is commenced in connection with this Agreement. In the event that any of the provisions of this Agreement shall be held by a court or other tribunal of competent jurisdiction to be unenforceable, such provisions shall be limited or eliminated to the minimum extent necessary so that this Agreement shall otherwise remain in full force and effect and enforceable. This Agreement shall be binding upon and inure to the benefit of the parties hereto and their successors and assigns. This Agreement contains the entire Agreement between the parties relating to the subject matter hereof. By your access and use of the Sandbox you acknowledge that you have read, understood and agree to all terms of this Agreement.
